1. Acceptance of Terms

By accessing or using Mentorfy.ai (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

The Service is operated by Badour Ventures LLC, a Tennessee limited liability company ("Company," "we," "us," or "our").

2. Description of Service

Mentorfy.ai is a software platform that captures user expertise and structures it into neural networks to create AI agents. These agents can be deployed across business functions to scale expertise without requiring the user's direct involvement.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use this Service. By using the Service, you represent and warrant that you meet these requirements.

4. Account Registration

To use the Service, you must:

• Create an account with accurate and complete information

• Maintain the security of your account credentials

• Notify us immediately of any unauthorized access

5. Subscription and Payment

5.1 Fees

Subscription fees and pricing are provided during the signup process or upon request. All fees are in U.S. Dollars unless otherwise specified.

5.2 Payment Processing

Payments are processed through Stripe, a third-party payment processor. By providing payment information, you authorize us to charge the applicable fees to your payment method on a recurring basis according to your selected billing cycle.

5.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current rate for your subscription tier.

5.4 Price Changes

We reserve the right to modify pricing with at least 30 days' notice. Continued use of the Service after price changes constitutes acceptance of the new pricing.

5.5 Taxes

You are responsible for all applicable taxes associated with your use of the Service.

6. Refund Policy

We offer a 30-day money-back guarantee. If you are not satisfied with the Service, you may request a full refund within 30 days of your initial purchase. Refund requests must be submitted to brady@mentorfy.ai.

7. Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at brady@mentorfy.ai. Upon cancellation:

• You will retain access to the Service until the end of your current billing period

• No refunds will be provided for partial billing periods (except as provided in Section 6)

• Your data will be retained for 30 days after cancellation, then permanently deleted

8. User Content and Data

8.1 Your Content

You retain ownership of all content, expertise, knowledge, and data you provide to the Service ("User Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display your User Content solely to provide and improve the Service.

8.2 Use of Data for AI Training

Important: We use aggregated and anonymized User Content to train and improve our AI models. This means your expertise and knowledge may be used to enhance the Service for all users. By using the Service, you consent to this use. We do not share your personally identifiable User Content with third parties without your consent.

8.3 Content Restrictions

You may not upload, submit, or transmit User Content that:

• Infringes on intellectual property rights of others

• Contains viruses, malware, or harmful code

• Violates any applicable laws or regulations

• Contains hate speech, harassment, or discriminatory content

• Impersonates others or misrepresents your affiliation

8.4 Content Removal

We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable, at our sole discretion.

9. AI Agents and Output

9.1 AI-Generated Content

The Service creates AI agents that generate output based on your User Content. You are responsible for reviewing and verifying all AI-generated content before use. We do not guarantee the accuracy, completeness, or reliability of AI-generated output.

9.2 Your Responsibility

You are solely responsible for:

• How you use AI agents created through the Service

• The accuracy of information provided to your customers or clients

• Compliance with all applicable laws when using AI-generated content

10. Intellectual Property

10.1 Our IP

The Service, including all software, algorithms, technology, design, and branding, is owned by Badour Ventures LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

If you provide feedback or suggestions about the Service, we may use such feedback without any obligation to you.

11. Third-Party Services

The Service integrates with third-party services, including but not limited to:

• Anthropic (AI models)

• Amazon Web Services (AWS)

• Stripe (payment processing)

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the actions or policies of third-party service providers.

12. Prohibited Uses

You may not use the Service to:

• Violate any laws or regulations

• Infringe on intellectual property rights

• Transmit harmful, offensive, or illegal content

• Attempt to gain unauthorized access to our systems

• Interfere with or disrupt the Service

• Use the Service for any unlawful or fraudulent purpose

WE DO NOT WARRANT THAT:

• The Service will meet your specific requirements

• The Service will be uninterrupted, secure, or error-free

• AI-generated content will be accurate or reliable

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BADOUR VENTURES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

18. Indemnification

You agree to indemnify and hold harmless Badour Ventures LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service

• Your User Content

• Your violation of these Terms

We may modify these Terms at any time by posting updated Terms on our website. Continued use of the Service after changes constitutes acceptance of the modified Terms. Material changes will be notified via email at least 30 days in advance.

20. Modifications to Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

21. Termination

21.1 By You

You may terminate your account at any time as described in Section 7 (Cancellation).

21.2 By Us

We may terminate or suspend your account immediately, without prior notice, if:

• You breach these Terms

• You engage in fraudulent or illegal activities

• Your use of the Service poses a security risk

• We are required to do so by law

21.3 Effect of Termination

Upon termination:

• Your right to use the Service immediately ceases

• We will delete your data 30 days after termination

22. Governing Law and Dispute Resolution

22.1 Governing Law

These Terms are governed by the laws of the State of Tennessee, United States, without regard to its conflict of law provisions.

22.2 Jurisdiction

You agree to submit to the exclusive jurisdiction of the state and federal courts located in Rutherford County, Tennessee for resolution of any disputes.

22.3 Arbitration

Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in Murfreesboro, Tennessee, in accordance with the rules of the American Arbitration Association.

23. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

24. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Badour Ventures LLC regarding the Service and supersede all prior agreements and understandings.

25. No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

26. Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
